End User License Agreement (EULA) for Cheese Animal Production's Game Assets

This End User License Agreement (the "Agreement") is a legal agreement between you (either an individual or a single entity) ("Licensee") and Cheese Animal Productions ("Licensor"), governing the use of the game assets (the "Assets").

1. License Grant

Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to use, modify, and integrate the Assets into commercial projects, subject to the terms and conditions set forth in this Agreement.

2. Permitted Uses

Licensee may:

Use the Assets in any number of commercial projects.
Modify the Assets as needed for their projects.
Distribute the Assets as an integral part of a larger project.

3. Restrictions

Licensee may not:

Resell, sublicense, or redistribute the Assets in their original or modified form as standalone products.
Use the Assets in any illegal, defamatory, or otherwise objectionable manner.
Claim ownership of the Assets or any derivative works based solely on the Assets.

4. Ownership

Licensor retains all rights, title, and interest in and to the Assets. This Agreement does not transfer any intellectual property rights to Licensee, except for the limited license provided herein.

5. Termination

This license is effective until terminated. Licensor may terminate this license if Licensee fails to comply with any term of this Agreement. Upon termination, Licensee must cease all use of the Assets and destroy all copies of the Assets in their possession.

6. Liability and Warranty Disclaimer

The Assets are provided "as is," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall Licensor be liable for any claim, damages, or other liability arising from the use or inability to use the Assets.

7. Indemnification

Licensee agrees to indemnify, defend, and hold harmless Licensor from and against any claims, liabilities, damages, losses, and expenses, including legal fees and costs, arising out of or in any way connected with the Licensee's use of the Assets.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the use of the Assets and supersedes all prior or contemporaneous understandings regarding such subject matter.

10. Modifications

Licensor reserves the right to modify this Agreement at any time. Licensee will be notified of any changes, and continued use of the Assets after any such modification shall constitute Licensee's consent to such changes.

By purchasing and using the Assets, Licensee agrees to the terms of this Agreement.
